Board of Directors

Sudhir Agrawal, D. Phil., F.R.S.C.

Chairman, Chief Executive Officer and President

Since joining the company as a founding scientist in 1990, Dr. Agrawal has served in senior scientific and leadership roles including Chief Scientific Officer from 1993-2010. He was appointed President in February 2000, Chief Executive Officer in August 2004, and Chairman in September 2010. Dr. Agrawal received his D. Phil. in Chemistry in 1980 and carried out his post-doctoral research at the Medical Research Council's Laboratory of Molecular Biology in Cambridge, U.K. Dr. Agrawal is a co-author of more than 300 research papers/reviews, has edited three books and has co-authored more than 300 patents, issued or pending worldwide.

William S. Reardon, C.P.A.

Lead Independent Director

William S. Reardon was appointed a member of the Company's Board in 2002 and Lead Director in 2010. Mr. Reardon is a retired audit partner at PricewaterhouseCoopers LLP ("PwC"), where he led the Life Science Industry Practice for New England and the Eastern United States. He worked with numerous life science companies, including Genzyme, Vertex, Sepracor and Cubist Pharmaceuticals. As an SEC Consulting Partner for PwC, he worked closely with SEC staff. Mr. Reardon serves as a director of Oscient Pharmaceuticals Corporation and Synta Pharmaceuticals, Inc. He has also served on the Board of the Emerging Companies Section of Biotechnology Industry ("BIO") and the Board of Directors of the Massachusetts Biotechnology Council ("MBC").

Youssef El Zein

 

Mr. El Zein was appointed a member of the Company's Board in 1992 and was appointed Vice Chairman of the Board in 1997. He has been Director of Pillar Investment Ltd., a private investment and management firm, since 1991.

C. Keith Hartley

 

C. Keith Hartley was appointed a member of the Company's Board in 2000. Mr. Hartley is Managing Partner of Hartley Capital Advisors, Merchant Bankers. He was Managing Partner of Forum Capital Markets L.L.C. from 1995 to 2000. Prior to that Mr. Hartley was an independent financial consultant from May 1991 to August 1995. He also serves as a Director of Universal Display Corporation.

Robert W. Karr, M.D.

Dr. Karr was appointed a member of the Company's Board in June 2005. He served as president of the Company from December 2005-2007. From 2000-2004, Dr. Karr was a senior executive for Global Research & Development for Pfizer, Inc., where he served as Senior Vice President, Strategic Management from 2003-2004. Prior to its merger with Pfizer, Dr. Karr served as Vice President, Research & Development Strategy for Warner-Lambert Company. He served on the Board of Directors of GTx, Inc. from 2005-2011. Dr. Karr received his B.S. (with honors) from Southwestern University in 1971 and his M.D. from the University of Texas Medical Branch in 1975. Dr. Karr completed his internship and residency in internal medicine at Washington University School of Medicine and served as a faculty member at both the University of Iowa College of Medicine and Washington University School of Medicine.

Malcolm MacCoss, Ph.D., F.R.S.C.

Dr. Malcolm MacCoss was appointed a member of the Company's Board in January 2010. Dr. MacCoss was formerly Group Vice President for Chemical Research at the Schering-Plough Research Institute and was the Head of Chemistry at the Schering-Plough Kenilworth, N.J. site. He also chaired the Schering-Plough Global Chemistry Council, a forum for formulating global chemistry strategies. From 1982-2008, Dr. MacCoss held positions with increasing levels of responsibility at Merck Research Laboratories in the areas of Exploratory, Medicinal, and Basic Chemistry. In 1999, he became Vice President, Basic Chemistry at the Rahway, N.J. site, and in 2003, he became the Vice President of Basic Chemistry and Drug Discovery Sciences and the Deputy Site-Head of the Rahway Site; he was also Chairman of the Merck World-Wide Chemistry Council. He serves on the Advisory Committee of the Executive Dean for the School of Arts and Sciences, Rutgers University and also on the Advisory Board of the Rutgers University Chemistry and Chemical Biology Department. Dr. MacCoss obtained a Ph.D. in organic chemistry from the University of Birmingham in the U.K.

Eve Slater, M.D., F.A.C.C.

Dr. Eve Slater was elected a member of the Company’s Board in June 2010. Dr. Slater was formerly the Senior Vice President for Worldwide Policy at Pfizer, Inc. In this role, she developed industry strategies for health care reform. Prior to this position, she was Assistant Secretary for Health for the U.S. Department of Health and Human Services, serving as chief policy advisory and responsible for overseeing the United States Public Health Service. At Merck, Dr. Slater oversaw clinical and regulatory development at Merck Research Laboratories from 1988-2001. Her roles at Merck included Senior Vice President of External Policy, Vice President of Corporate Public Affairs, Senior Vice President of Clinical and Regulatory Development, Executive Director of Biochemistry and Molecular Biology and Senior Director of Biochemical Endocrinology. Dr. Slater managed worldwide regulatory activities for all Merck medicines and vaccines. She is currently Associate Clinical Professor of Medicine at Columbia University’s College of Physicians and Surgeons. Dr. Slater is a Phi Beta Kappa graduate of Vassar College and an Alpha Omega Alpha graduate of Columbia University's College of Physicians and Surgeons. She joined Massachusetts General Hospital (MGH) in 1971 with an internship in medicine, followed by a fellowship in cardiology in 1973. In 1976 she was appointed Chief Resident in Medicine. Dr. Slater served as Chief of the Hypertension Unit at MGH from 1977-1982 and was Assistant Professor of Medicine at Harvard Medical School.
